the questionDid Lyten acquire all of Northvolt at once?
1Assets and corporate identities
analysisThe transaction record is organised by facility and asset package, rather than a single transfer of the entire Northvolt group. Lyten’s February 2026 announcement said it completed the Ett, Ett Expansion and Labs asset acquisition in Sweden. It described 16 GWh of existing capacity, more than 160 hectares and nearly $5 billion in asset value. That figure was not presented as the purchase price. 1
documentedLyten announced in February 2026 that it had completed the acquisition of Northvolt Ett, Ett Expansion and Labs assets. Its announcement described 16 GWh of existing manufacturing capacity, more than 160 hectares of land and nearly $5 billion in asset value. 1
- qualification
- The release has a February 26 header and February 27 dateline. The $5 billion is stated asset value, not the purchase price. Asset names do not establish that the bankrupt sellers and new Lyten companies are the same legal entities.
analysisThe release’s header and dateline differ by one day, so this dossier uses February 2026 for completion. Its forward plans for restarting production and delivering cells remain corporate intentions at the announcement date. A familiar factory name also does not establish that a new Lyten operating company is the same legal person as a bankrupt Northvolt seller. 1
2Poland preceded the Swedish closing
analysisThe October 2025 Dwa release announced completion of the Gdańsk manufacturing and research facility acquisition. Lyten described equipment capable of ramping to 6 GWh and possible further expansion to 12 GWh. These are capacity descriptions, not demonstrated production or sales. The statement named Robert Chryc-Gawrychowski, formerly Northvolt Poland’s chief executive, to lead Lyten Poland. 2
documentedLyten announced completion of its acquisition of the Northvolt Dwa manufacturing and R&D facility in Gdańsk in October 2025. The release described equipment capable of ramping to 6 GWh and a possible future expansion to 12 GWh. It named former Northvolt Poland chief Robert Chryc-Gawrychowski as CEO of Lyten Poland. 2
- qualification
- The header is October 15 and dateline October 16. Restart and sales targets were intentions in that announcement, not independently established deliveries.
3Separate agreements for California and recycling
analysisThe November 2024 Cuberg release concerned San Leandro equipment and a facility lease, with a plan to adapt lithium-metal manufacturing assets for lithium-sulfur batteries. Its body described a future transfer, but Lyten’s August 2025 account subsequently said the Cuberg facility had been acquired in November 2024. The later account supports the reported completion; it still does not establish that all projected expansion investment was spent. 3 4
documentedIn November 2024 Lyten announced an agreement to take over Cuberg’s San Leandro facility lease and acquire battery development and manufacturing equipment. It intended to adapt the facility for lithium-sulfur batteries and invest up to $20 million in its San Leandro and San Jose expansion in 2025. 3 4
- qualification
- The initial announcement used future tense, and the projected investment is not an established amount spent.
- outcome
- Lyten’s August 2025 announcement subsequently described the Cuberg facility as acquired in November 2024.
analysisRevolt followed a different path. A March 2026 release announced a binding agreement for the recycling site and technology licences, with undisclosed terms and an expected second-quarter closing. The company said approval processes remained under way. The separate completion of Ett and Labs cannot supply the missing evidence of a later Revolt closing. 5
documentedOn 13 March 2026 Lyten announced a binding agreement to acquire the Revolt recycling site and technology licences. It described 8,500 tonnes of installed annual recycling capacity, undisclosed financial terms and a transaction funded by Lyten equity. 5
- qualification
- The announcement expected closing in the second quarter and said legal and regulatory processes remained. A later completion is not established by this announcement.
4Germany still required definitive contracts
analysisThe July 2026 German MoU brought together Lyten, KfW, Northvolt Drei Project and LG Batterie. It was a step toward an asset purchase, while the state government said definitive documents remained to be negotiated. In an October 1 update, Lyten still described final contractual work and open legal and commercial points. The record therefore supports an ongoing proposed disposal at that date. 6 7 8
documentedOn 1 July 2026 Lyten announced an exclusive memorandum of understanding with KfW, Northvolt Drei Project and its shareholder LG Batterie to progress acquisition of the Heide assets. The Schleswig-Holstein government described the intended asset purchase as legally nonbinding at that stage and said binding contracts were still to be negotiated. 6 7
- qualification
- The state government expressly said it was not a party to the MoU or later purchase contracts, although it and the federal government would share economic proceeds through KfW. This differs from simply treating the state as the seller.
attributedA 1 October 2026 reported update quoted Lyten saying negotiations and the final purchase contract were advanced but additional time was needed for remaining legal and commercial details. The intended third-quarter completion had therefore slipped. 8
- qualification
- No completed German acquisition is established in that update.
5Why the earlier package announcement needs later updates
analysisIn August 2025 Lyten announced agreements for a broad package of Swedish and German assets and intellectual property, expecting fourth-quarter completion after approvals. The trustee also said conditions remained. That release described BESS products and intellectual property as already acquired in July, while the Canadian project remained under discussion. The subsequent records show different paths and dates for the facilities, so the broad early announcement cannot stand in for each later outcome. 4 9
documentedLyten’s August 7, 2025 announcement covered binding agreements for remaining Swedish and German assets and intellectual property, with approvals outstanding and fourth-quarter closing expected. The trustee’s parallel statement likewise said conditions remained. Lyten also described a completed July 2025 BESS product and intellectual-property acquisition and discussions about the Canadian project. 4 9
- qualification
- Those broad 2025 plans must be read with the later Swedish completion, German delay and separate Canadian process; the statement is not proof of one completed acquisition of all remaining Northvolt assets.
6Buyer funding and management
analysisLyten named Matthias Arleth as its Swedish chief executive and described financing from investor equity and EdgeConneX’s data-centre-site investment. Its restart, sales and hiring targets were prospective at the announcement date. Those operational plans and the site arrangement explain the buyer’s stated approach without proving every later target was met. 5 1
attributedLyten’s February 2026 announcement names Matthias Arleth as CEO of Lyten Sweden and says its Northvolt acquisitions were financed with existing and new investor equity and capital from EdgeConneX’s investment in the data-centre site. 5 1
- qualification
- The announcement’s production, sales and hiring targets were forward-looking. Its asset book value is not a disclosed acquisition price, and the data-centre arrangement is distinct from the battery factories.
