Northvolt in Quebec: funding withdrawal, CCAA and asset sales

Quebec distinguished a lost parent-company investment from a secured land loan. The Canadian companies later entered CCAA proceedings, and the monitor completed a steel sale while pursuing a separate land process.

the questionWhat do the retained records show about money advanced and the Canadian project’s disposal?

1Commitments were larger than payments

analysisThe Canadian project’s support package included up to C$1.34 billion of capital assistance and production incentives of up to C$4.6 billion, one-third of the latter from Quebec. Those production incentives depended on output and sales and were linked to the corresponding US regime. The federal briefing retained from November 2024 said no federal funds had been disbursed. Announced support should therefore not be read as a balance of cash already invested. 1

documentedCanada’s retained November 2024 briefing describes up to C$1.34 billion in capital support for the Quebec factory and production incentives of up to C$4.6 billion, one-third of the latter payable by Quebec. Production support depended on batteries actually made and sold and could change with the corresponding US incentive regime. 1

qualification
The federal government said it had made no disbursement at that date. These conditional commitments were not money already received.

analysisQuebec’s September 2025 decision ended further financing after it judged the submitted plan unsatisfactory. Its account put the amount already advanced at C$510 million: C$270 million invested in the Swedish parent and C$240 million lent against land security. It described the parent investment as lost following bankruptcy, while pointing to security supporting recovery of the land loan. That distinction prevents the whole C$510 million from being labelled an established loss. 2

documentedOn 2 September 2025 Quebec announced the end of further project financing after finding the submitted plan unsatisfactory. It distinguished C$510 million already advanced: a C$240 million secured land loan and a C$270 million investment in the Swedish parent, described as lost following its bankruptcy. 2

qualification
The government described security supporting recovery of the land loan. The full C$510 million is therefore not an established realised loss.

2Three debtors, one administration

analysisThe Canadian project was outside the parent’s US Chapter 11 in November 2024, but that was a dated jurisdictional distinction, not immunity from future insolvency. The Quebec court’s September 2025 initial order covered Batteries Northvolt Nord-Amérique, 9500-9551 Québec and MCMSB. It appointed Raymond Chabot as monitor on Investissement Québec’s application. 1 3

documentedThe same briefing records Northvolt AB’s US filing on 21 November 2024 and the company’s position that the Canadian project would operate outside Chapter 11, though it would be delayed. It records Peter Carlsson stepping down as CEO while remaining a director at that stage. 1

qualification
Exclusion from the parent’s Chapter 11 did not prevent later Canadian proceedings.

documentedThe Quebec Superior Court’s 5 September 2025 initial CCAA order concerns Batteries Northvolt Nord-Amérique inc., 9500-9551 Québec inc. and Société en nom collectif MCMSB, under court number 500-11-066155-256. Investissement Québec applied and Raymond Chabot was appointed monitor. 3

qualification
These are the debtors named in this Canadian proceeding; the order is distinct from the Swedish and US proceedings.

analysisThe order joined the proceedings for administration while preserving the debtors’ separate assets and obligations. IQ remained an unaffected creditor with security rights outside the general stay. The order also specifically referred to the Mohawk Council of Kahnawà:ke’s proceeding against the Canadian Northvolt company; that reference identifies the litigation without deciding its merits. The initial stay was procedural and dated, not a blanket statement of the case’s later status. 3

documentedThe CCAA order consolidated the three proceedings for administration only, expressly leaving each debtor’s assets, debts and obligations separate. IQ was an unaffected creditor whose security rights were not compromised and which was not bound by the general stay. 3

qualification
Joint administration is not a substantive merger or a finding that every group company owes every liability.

documentedThe initial order expressly refers to proceedings by the Mohawk Council of Kahnawà:ke against Batteries Northvolt Nord-Amérique, court number 500-17-128547-240, within its provisions governing the stay and statutory exceptions. 3

qualification
This procedural reference establishes the identified proceeding, not its merits or final outcome.

3A completed steel sale and a prospective land timetable

analysisThe monitor reported closing the steel-inventory transaction on 13 March 2026 after court approval two days earlier. Its cash-flow statement records C$13.653 million in movable-asset sale receipts during March 1–May 8. These receipts are distinct from the price or value of the land and from the historical cost of the abandoned factory project. 4

documentedThe monitor reported that the steel-inventory sale, approved by the court on 11 March 2026, closed on 13 March. Its cash-flow table records C$13.653 million in movable-asset sale receipts for March 1 to May 8, 2026. 4

qualification
The cash-flow receipts are not the value of the entire Quebec project or the price of the land.

analysisFor the land, the May report described ten nonbinding offers and eight bidders proceeding to the next stage. Its timetable envisaged selecting a binding offer on 16 October, seeking court approval on 6 November and closing on 30 November 2026. Those dates are targets recorded in a May document. They do not establish that the later sale milestones were met. 4

documentedIn its May 2026 report, the monitor described ten nonbinding first-phase land offers and eight bidders advancing to the next stage. The proposed timetable targeted binding bids by 30 September, selection on 16 October, court approval on 6 November and closing on 30 November 2026. 4

qualification
These are dated planned milestones. The retained report does not prove that any later milestone or land sale occurred.

4Environmental obligations continued during the process

analysisThe monitor described elevated aluminium and low-pH water and linked the aluminium issue to earlier chemical, fertiliser and explosives operations on the site. It reported corrective planning and subsequent compliant pH measurements. Retention-basin leaks in March prompted containment, sampling and notification to the regulator. These accounts preserve both the observed problems and the response, while separating legacy contamination from later site management. 4

documentedThe monitor described elevated aluminium and low pH in discharged water, attributing aluminium concerns to the site’s earlier chemical, fertiliser and explosives operations. It reported corrective planning, later compliant pH samples, and prompt containment, sampling and regulator notification after March 2026 retention-basin leaks. 4

qualification
Legacy contamination and later site-management events should not be collapsed into a claim that Northvolt created all the contamination.

5The reported 5% was a convertible estimate

analysisIn April 2024 Quebec’s minister described an approximate 5% interest through a convertible debenture. The ministry clarified that the actual percentage on conversion depended on timing and company valuation and was not yet knowable. That estimate therefore cannot be inserted as a fixed equity percentage alongside Northvolt’s differently dated issued-and-diluted shareholder table. 5

attributedIn April 2024 reporting, Quebec’s economy minister described an approximately 5% interest represented by a convertible debenture. His ministry expressly said the actual percentage on conversion could not yet be known because it depended on conversion timing and Northvolt’s valuation. 5

qualification
The 5% estimate is not a fixed issued-equity ownership percentage and should not be inserted into the 2023 shareholder table.

6Borrower, steel purchaser and creditor claims

analysisThe land-loan declaration identifies MCMSB as the borrower, represented by general partners Northvolt Batteries North America and 9500-9551 Québec. The C$240 million facility was secured over land and other assets. Identifying the borrower and partners is necessary to understand the later proceedings without attributing every group liability to every company. 6

documentedThe November 2024 declaration identifies MCMSB General Partnership as borrower of the C$240 million Canadian land loan, represented by general partners 9500-9551 Québec Inc. and Northvolt Batteries North America Inc. Investissement Québec was lender, with land, other assets and an equity pledge supporting the loan. 6

qualification
The stated 4.99% interest and 2038 maturity are contract terms at that date, not evidence that the later insolvency left the original repayment timetable intact.

analysisThe monitor chose Compagnie Américaine De Fer Et Métaux’s steel-inventory offer after improved bids and consultation with IQ. The later report records closing. This buyer is connected to the steel transaction, while the land-sale process remained separate. In May the monitor distinguished approved from pending claims and sought a C$15 million interim payment to IQ; that request was not itself proof the payment had occurred. 7 4

documentedThe monitor’s March 2026 report identifies Compagnie Américaine De Fer Et Métaux as the selected steel-inventory purchaser after two improved bids, chosen in consultation with the principal secured creditor IQ. The later report records the March 13 closing. 7 4

qualification
Selection and closing concern the steel inventory, not the Canadian land sale or acquisition of the whole project.

documentedThe monitor’s May 2026 report lists 43 claims totalling approximately C$86.609 million, separating approved claims from those still under analysis. It sought permission for a C$15 million interim distribution to IQ against a secured land-loan claim valued at C$64.894 million as of December 2025. 4

qualification
The report’s request is not itself the distribution order or proof of payment. A submitted or pending claim is not automatically an allowed claim.
