Northvolt pension investment: the 4 to 1 structure and its contested mandate

Four AP funds participated through a limited partnership. Later reporting and a consultant review questioned whether that structure met the applicable investment rules; the funds said a thorough evaluation had preceded the investment.

the questionHow did the Swedish AP funds invest, and what did later reviews question?

1The partnership and the Northvolt stake

analysisThe retained corporate record identifies 4 to 1 Investments AB as general partner of 4 to 1 Investments Kommanditbolag, with the First through Fourth AP funds as limited partners. The partnership appears in Northvolt’s 2023 diluted ownership table. A limited-partner listing does not establish equal ownership, each fund’s separate exposure or how any recoveries will be distributed. 1 2

attributedThe retained record for 4 to 1 Investments Kommanditbolag names 4 to 1 Investments AB as general partner and the First, Second, Third and Fourth Swedish AP funds as limited partners. 1

qualification
The partnership roles do not establish equal shares, each fund’s individual Northvolt exposure or current recoveries.

documentedAt year-end 2023, Northvolt’s shareholder table attributed 21.0% to Volkswagen Finance Luxembourg, 19.2% to Goldman Sachs Asset Management funds, 7.2% to Vargas Holding, 6.7% to Rocarma Consulting, 5.1% to ATP, 4.8% to Baillie Gifford funds, 3.5% to 4 to 1 Investments, 2.8% each to AMF and BMW España Finance, and 2.4% to IMAS Foundation. 2

qualification
The denominator includes all shares, warrants and options, but excludes convertible notes. These dated diluted positions are not present-day ownership percentages. Fund groupings are not single legal entities.

2A disputed structure, with the funds’ response

analysisThe April 2025 investigation questioned a vehicle without employees whose investment decisions were taken by AP-fund staff, against rules permitting indirect investment through a venture-capital structure. It reported that the funds declined interviews but said in writing that a thorough evaluation had been conducted. That response matters to the account; declining a particular interview format is not proof of an unlawful decision. 3 4

attributedApril 2025 reporting questioned whether the AP funds’ staff-controlled, employee-free investment vehicle complied with restrictions on direct investment in unlisted companies. March 2026 reporting on a commissioned consultant review said the vehicle lacked the independent organisation, broad portfolio strategy and own capital framework required for the permitted venture-capital structure. 3 4

qualification
These are attributed reporting and consultant conclusions, not a judgment or criminal finding. The later report put the combined Northvolt loss at almost SEK 6 billion; it does not allocate the loss equally among the four funds.
response
The funds said in written responses that the investment had undergone a thorough evaluation. The March report quoted the financial-markets minister saying the government would analyse the conclusions.

The retained account is a review conclusion and government response, not a court judgment or a determination of personal liability. 3 4
